WE OFFER TWO HYBRID STRUCTURES

Convertible Note vs. Bond + Warrants

The economics of our two offers are the same. Companies can choose.

Convertible Note

A loan that can be converted into shares

Full conversion into shares extinguishes the loan

The loan cannot be repaid early without the approval of PURE

Conversion into shares is only applicable to the loan repayment

At the end of the term, if the loan has not been converted, it must be repaid or extended

VS

Bond + Warrants

A loan with separate warrants where the proceeds from exercise equals the loan value

The full exercise of the warrants into shares injects equity capital to extinguish the loan.

The proceeds from the warrants can be used for any purpose in addition to repaying the loan capital

At the end of the term, if the loan has not been repaid by the warrant proceeds, it must be repaid or extended
